In relation to the establishment of a new business or a new venture, WSGL can assist in the establishment of intellectual property, policies and procedures, investigate the availability of proposed corporate names and trademarks, and investigate the protectability of a company's technology. The Firm can also provide guidance on and prepare intellectual property agreements with employees, consultants and other outside parties.

Corporate Acquisitions and Mergers

We regularly provide counsel to corporate clients and to general counsel on behalf of corporate clients in relation to acquisitions and mergers and the acquisition of technology in general. As part of the acquisition of a business or the acquisition of technology, we can identify and assess the strengths and weaknesses of the associated intellectual property rights, including patents, trademarks, copyrights, software and trade secrets, and handle the appropriate documents transferring those rights.

We also conduct due diligence and related investigations, such as infringement studies to identify any patent or other intellectual property rights of others which may affect an acquired technology, and validity studies to determine the stature and scope of acquired patent and other intellectual property rights.
